CVR: DK38099752. Sookie is a SaaS-based Consent Management Platform (CMP) that enables website owners to
manage cookie consent, automate scanning and documentation, and stay compliant with GDPR, ePrivacy,
CCPA/CPRA and other global data protection regulations.
By using Sookie’s website or services, you agree to these Terms of Service and our Privacy Policy.
Sookie ApS reserves the right to modify or update these terms at any time. Any updates will be
published on sookie.io and will apply from the effective date stated.
Subscription and Plans
Sookie provides its platform as a subscription service for both private users and organizations.
Subscriptions are offered as plans (“Packages”) with usage limits and/or included capacity (e.g., number of subpages and number of popups/service calls)
as described in the Sookie user interface at the time of purchase.
Users may upgrade, downgrade, or cancel their plan at any time via their account settings.
Plans renew automatically at the end of each billing period unless cancelled before renewal.
Plan Selection and Administrator Approval
Where an account belongs to an organization, the organization’s designated administrator (“Administrator”) is responsible for selecting and approving
the applicable Package during sign-up and for ensuring that the subscription details (including billing information and chosen Package) are correct.
By approving a Package, the Administrator confirms they have authority to bind the organization to these Terms and to authorize payments using the
selected payment method.
Usage Measurement (Subpages and Service Calls)
Sookie measures usage per billing period based on (i) the number of subpages included in the website(s) connected to your account and
(ii) the number of times your website or applications call the Sookie service (including, but not limited to, popup/banner loads and related API requests)
(“Service Calls”).
Usage measurement is performed automatically by Sookie’s systems. You acknowledge that measurement is based on technical signals and logs and may be affected
by factors such as caching, retries, bots, proxies, page structures, and third-party integrations. Sookie will use commercially reasonable efforts to provide accurate
measurement, but you accept that usage data is provided as recorded by Sookie’s systems.
Billing Cycle, Charges, and Payment Authorization
Billing periods run in one-month intervals starting from the subscription start date (“Start Date”). Your payment method will be charged at the end of each billing period
based on the active Package for that period and the usage recorded for that period.
If your account is displayed as “not charged until end of period”, this means the first charge (and subsequent charges) will be processed at the end of the applicable billing period.
You authorize Sookie (and our payment partners) to store and charge your selected payment method for recurring charges, including applicable taxes and fees.
Sookie or our payment partners may place a temporary authorization/verification on your payment method to validate it (this is not a final charge).
Overages, Exceeding Limits, and Plan Changes
If your usage exceeds the limits included in your Package (e.g., subpages and/or Service Calls), Sookie may (a) require you to upgrade to a higher Package,
(b) apply an overage charge, and/or (c) limit or suspend features until the account is brought within the allowed limits, as described in the user interface.
Plan changes typically take effect either immediately or from the next billing period, depending on what is shown in your account settings at the time you make the change.
Where immediate effect is offered, you may receive a pro-rated adjustment or a separate charge.
Payments and Refunds
All payments are processed securely through our payment partners. Paid subscriptions renew automatically at
the end of the chosen term. Subscriptions can be cancelled at any time but remain active until the end of the
current billing cycle. Unless required by law, refunds are not provided for partial periods, unused time, or deleted accounts.
You are responsible for maintaining valid payment details. If a payment fails, Sookie may retry the charge and/or suspend access until payment is successfully processed.
Data and Content Rights
Users retain ownership of all data and configurations added to their Sookie account. By using the service, you grant Sookie the limited right to process and store data necessary for the platform to function. Sookie does not sell customer data. We only share data with third parties where required to provide the service (e.g., hosting and payment providers), where required by law, or where explicitly authorized by the user.
Automated Cookie Scanning and Third-Party Services
Sookie automatically scans your website to detect cookies, trackers, and embedded third-party services.
The results are displayed in your cookie declaration and updated regularly.
Sookie cannot control how third-party services (e.g., Google, Meta, LinkedIn) behave, update, or cache content.
Integrations and detections are provided on an “as available” basis and may change if third parties change their technology or terms.
Compliance and Legal Framework
Sookie ApS supports compliance with applicable privacy regulations, including the General Data Protection Regulation (GDPR) and the ePrivacy Directive, and may support frameworks such as IAB TCF 2.2 where applicable. Sookie does not provide legal advice. Users are responsible for correctly implementing Sookie on their websites, configuring consent settings appropriately, and maintaining transparency toward their visitors.
Disclaimer and Limitation of Liability
Sookie is provided “as-is” and “as available.” We make no guarantees that the platform will be error-free or
uninterrupted. To the maximum extent permitted by law, Sookie ApS shall not be liable for indirect, incidental,
special, or consequential damages arising from the use or inability to use the service.
In all cases, Sookie ApS’s aggregate liability for claims relating to the service will not exceed the fees paid by you
to Sookie in the three (3) months immediately preceding the event giving rise to the claim.
Account Suspension or Termination
Sookie reserves the right to suspend or terminate any account that violates these Terms, applicable law, or engages in misuse of the service. In such cases, access to Sookie features may be removed with or without prior notice where permitted by law.
Data Processing and Privacy
By using Sookie, you consent to the processing of technical and personal data necessary for the service’s operation.
This includes storing consent logs, scanning results, usage records, and account data. Where applicable, Sookie acts as a data processor on behalf of
customers in accordance with our Data Processing Agreement (DPA).
Users can delete their data or request a copy of stored information as described in our Privacy Policy and within the product functionality.
Intellectual Property
All trademarks, code, text, images, and other elements of the Sookie platform are the exclusive property of Sookie ApS and its licensors. Unauthorized copying, distribution, modification, or resale of any part of the platform is strictly prohibited.
Reporting Abuse or Security Issues
We take security and compliance seriously. If you discover vulnerabilities, misuse, or privacy violations, please contact us immediately at support@sookie.io. Reports will be reviewed promptly, and we reserve the right to take corrective or preventive action as needed.
Governing Law and Jurisdiction
These Terms of Service are governed by and construed in accordance with the laws of Denmark. Any disputes arising from the use of Sookie shall be settled by the courts of Copenhagen, Denmark, unless mandatory consumer protection rules require otherwise.
